Corporate Governance (MSB310A)

This course explores the role, structure, and responsibilities of corporate governance. This course will enable you to

  • Define the main mechanisms to protect the interest of the different firm stakeholders
  • Recognise key considerations of executives compensations
  • Analyse strategies for board members, executives, and other environmental, social, and governance (ESG) actors to respond to conflicting demands and societal challenges

Upon completion of the course students will gain knowledge in

  • assessing the objectives of the firm, including value and social responsability
  • designing proper incentives for managers to achieve the firm's goal
  • analysing the voting power of different stakeholders
  • applying behavioural concepts associated with the governance of firms


Upon completion of this course, students will be able to:

  • apply critical thinking on the pros and cons of the different governance mechanisms present in different markets (domestic and international)
  • use statistical skills in support of governance mechanisms
  • present in a professional manner their recommendations to enhance the governance of firms
